1. Credit Account

1. Two Guys Enterprises ("the Supplier") may, at its absolute discretion, approve or decline this application. Approval does not constitute a binding commitment to supply goods or services.
2. The Supplier may at any time and without notice reduce, suspend or cancel the credit facility, including if the Account Holder fails to meet these terms.
3. The credit limit approved (if any) is a guide only. The Supplier may approve individual orders above that limit at its discretion.

2. Payment Terms

1. All invoices issued by the Supplier are due and payable in full within 7 days of the invoice date ("the Due Date"), unless otherwise agreed in writing by the Supplier.
2. The Supplier does not accept verbal variation of payment terms. Extended terms must be documented and signed by a director of the Supplier.
3. Payment must be made by bank transfer to the Supplier's nominated account as shown on the invoice.

3. Overdue Amounts & Enforcement

1. Interest on any overdue amount accrues at 2% per calendar month (or part thereof), calculated from the Due Date until the date of full payment.
2. The Account Holder indemnifies the Supplier on a solicitor-and-own-client basis for all costs, charges and expenses (including legal fees and disbursements) incurred in recovering any overdue amount.
3. The Supplier may suspend supply without liability where any invoice remains unpaid beyond its Due Date.
4. The Supplier may refer overdue accounts to a debt collection agency. All associated collection fees are payable by the Account Holder.
5. Jurisdiction for all disputes is exclusively the courts of Western Australia.

4. PPSR — Security Interest over Personal Property

1. The Account Holder grants to the Supplier a purchase money security interest (PMSI) in all goods supplied until paid in full, and a general security interest over all present and after-acquired personal property.
2. The Account Holder consents to the Supplier registering financing statements on the Personal Property Securities Register (PPSR) and will do all things necessary to perfect and maintain those interests.
3. On default, the Supplier may exercise all rights of a "secured party" under the Personal Property Securities Act 2009 (Cth), including the right to seize and sell the secured property.

5. Charge over Real Property

1. As additional security for all amounts owed, the Account Holder charges all of its real property (present and future, wherever situated in Australia) in favour of the Supplier.
2. The Account Holder consents to the Supplier lodging a caveat on the title of any real property owned by the Account Holder to protect this charge.
3. The Account Holder may not sell, transfer, mortgage or otherwise encumber any real property without the prior written consent of the Supplier while any amount remains owing.

6. General

1. These terms supersede any prior trade account terms between the parties.
2. If any provision is unenforceable, the remaining provisions continue in full force.
